Position Summary
The Director - Contracts is responsible for performing a variety of duties including general legal and administrative support to the senior director of contracts, attorneys and various business units as required. Duties include managing status of contracts in the company CLM, preparing and recording template contracts, researching various contract terms for reporting and audit activities, and track expirations, renewals or extensions of executed contracts. Maintain regular correspondence with internal teams and assistance on transactional matters.
Job Responsibilities
Responsible for drafting, negotiating, and managing contracts, ensuring they are compliant with company policies and legal requirements.
Represent Caris in contract negotiations with third parties resulting in mutually beneficial contracts. This includes vendors, research partners and customers.
Identifying, assessing, and mitigating potential legal, financial, and operational risks associated with contracts.
Addressing and resolving contract-related disputes.
Working with internal teams (legal, finance, sales, medical affairs, procurement, lab operations) to facilitate contract negotiation and prioritization.
Analyzing contract data, preparing reports, and providing insights to support contract management decisions.
Act as an admin to manage the Contract Management System. This includes:
Building new approval workflows.
Managing the repository.
Tracking renewal/expiration dates.
Tracking and documenting financial parameters.
Evaluating new CLM solutions if we decide to migrate to a new product.
Respond to inquiries from Caris staff.
Communicate contract status to senior leadership and external parties.
Assist as needed to perform other related duties and special projects as required.
Accept other duties as assigned.
Required Qualifications
Bachelor’s degree.
8+years of experience managing legal contracts.
8+ years of experience working in a legal setting.
Proficient in Microsoft Office Suite, specifically Word, Excel, Outlook, Adobe Acrobat, DocuSign and general working knowledge of Internet for business use.
Experience utilizing contract management software.
Preferred Qualifications
Healthcare, biotech or pharma industry contract experience preferred.
Master’s degree.
Physical Demands
Must possess the ability to sit, stand, and/or work at a computer for long periods of time.
Must possess ability to perform repetitive motion.
Ability to lift to 30 pounds.
Other
Job may require after-hours response to emergency issues.
It could require overtime, evenings & weekends.
Annual Hiring Range
$160,000 - $180,000
Actual compensation offer to candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level. The pay ratio between base pay and target incentive (if applicable) will be finalized at offer.
Conditions of Employment: Individual must successfully complete pre-employment process, which includes criminal background check, drug screening, credit check ( applicable for certain positions) and reference verification.
